These Terms of Service ("Terms") govern your access to and use of itpays.io (the "Site") and the services offered by Payology ("Payology," "we," "us," or "our"). By accessing the Site or using our services, you agree to these Terms. If you do not agree, do not use the Site or our services.
Payology provides two categories of services. Payment Processing Referral Services: Payology operates as a registered Independent Sales Organization ("ISO") that refers merchants to sponsoring banks, acquiring banks, and payment processing partners for card and payment acceptance services. Any agreement for payment processing is entered into directly between the merchant and the sponsoring bank or processor, and is governed by that party's own merchant agreement, pricing, and terms, which will be provided to you separately — Payology is not the merchant's payment processor or acquiring bank. Earned Wage Access Referral Services: Payology refers and supports employer clients who wish to offer Earned Wage Access to their employees through our partnership with Payactiv. The EWA program itself, including funding, employee enrollment, and app functionality, is provided by Payactiv under Payactiv's own terms of service, which apply to employers and employees using the EWA program.
You must be at least 18 years old and able to form a binding contract to use the Site or our services on behalf of a business.
If you apply for payment processing or EWA through Payology, you agree to provide accurate, current, and complete information, and to promptly update that information if it changes. You are responsible for complying with the terms of any agreement you enter into with a sponsoring bank, processor, or Payactiv.
Fees for payment processing services are set by the sponsoring bank or processor and disclosed in the applicable merchant agreement. Fees, if any, for Earned Wage Access are set by Payactiv and disclosed in the applicable EWA program terms. Payology does not directly bill merchants or employees for these third-party services except where separately agreed in writing.
Our services rely on third-party partners, including sponsoring banks, card networks, payment processors, and Payactiv. Payology is not responsible for the acts, omissions, availability, or performance of these third parties, and your use of their services is subject to their own terms and privacy practices.
The Site and its content, including text, graphics, logos, and design, are owned by Payology or our licensors and are protected by intellectual property laws. You may not copy, reproduce, or distribute Site content without our prior written permission.
The Site and our services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, Payology will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Site or our services, even if we have been advised of the possibility of such damages.
You agree to indemnify and hold Payology harmless from any claims, losses, or damages, including reasonable legal fees, arising from your use of the Site or breach of these Terms.
We may suspend or terminate your access to the Site or our services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to Payology or others.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
